Michael J. Volkovitsch’s practice focuses on corporate finance and mergers and acquisitions transactions and securities law matters, including initial public offerings, public and private debt and equity financings (including rights and exchangeable bond offerings), complex equity derivative transactions, transnational mergers and acquisitions, international joint ventures, private equity investments and major infrastructure projects.

His work in these areas has involved the counseling and representation of corporate issuers, investment banks, and partially privatized entities and investors.

Michael began working at the firm in 1993, became a partner in 2002 and joined the Milan office in 2004, where he was resident until 2009. From 2001 through 2004, he was resident in the Frankfurt office. Prior to joining Cleary, Michael was a management consultant to major law firms and international corporations in San Francisco. He has also worked for the U.S. Department of State in Washington D.C. and the International Court of Arbitration of the International Chamber of Commerce in Paris.

  • Credit Suisse in:

    • $6 billion of “bail-in” securities;
    • an innovative €2 billion Reg S Tier 2 buffer capital notes offering in response to anticipated Swiss bank capital regulations;
    • the filing of shelf for future contingent capital offerings in the United States; and
    • on a host of disclosure and corporate governance-related issues.
  • Fiat in:

    • the restructuring of the shareholding structure of Italenergia and in its delisting from the New York Stock Exchange and SEC deregistration;
    • its €15 billion GMTN Programme, and in offerings thereunder, including the benchmark deal representing Fiat’s return to the international capital markets in 2006; and
    • CNH Industrial (formerly Fiat Industrial) on its €10 billion GMTN Programme, and in offerings thereunder. Also, counsel to Fiat Industrial in the establishment of the Programme.
  • The issuer and selling shareholder in the $1 billion initial public offering by New Holland Global N.V.

  • Swedish Export Credit (SEK) in over $15 billion of offerings of a wide variety of debt instruments.

  • The arrangers in UniCredit’s $750 million notes offering, and the related program we helped establish in 2006.

  • Benchmark offerings by Harland Clarke Holdings, ArcelorMittal, Northern Tier Energy, Essar Steel Algoma and E.ON.
