M. Rita Sobral’s practice focuses on cross-border corporate and financial transactions.

Rita concentrates on debt restructurings, securities offerings, liability managements, and sovereign debt offerings in Latin America.

Rita joined the firm’s NY office in 2017. From June 2019 to January 2021, she was resident in the firm’s São Paulo office.

From 2014 to 2017, Rita worked as a corporate associate at another New York law firm. She also worked as a secondee at Credit Suisse, Investment Banking and Capital Markets, from September 2016 to May 2017.

Notable Experiences

  • Odebrecht Engenharia e Construção S.A. (OEC) in a complex restructuring and related consent solicitation for approval of a Brazilian extrajudicial restructuring plan to restructure OEC’s approximate $3.3 billion aggregate principal amount of notes issued by Odebrecht Finance Ltd. and guaranteed by OEC, among others.

  • An ad hoc group of secured project finance lenders in connection with the restructuring of over $1.67 billion in total indebtedness of Constellation Oil Services Holding S.A. and its subsidiaries (Constellation Group).

  • Companhia Paranaense de Energia – Copel in its offer to convert five shares of any class into units, with each unit representing four preferred Class B shares and one common share.

  • The initial purchasers in a Rule 144A/Reg. S offering of $500 million 4.875% senior unsecured notes due 2030 issued by Globo Comunicação e Participações S.A. (Globo) concurrently with the launch of an abbreviated cash tender offer for any and all of Globo’s 4.875% senior notes due 2022.

  • The international placement agents in the R$1.4 billion initial public offering of CSN Mineração S.A.

  • The Federative Republic of Brazil in numerous transactions, including its $2.5 billion SEC-registered bond offering.
