Cleary Gottlieb partner Daniel Ilan and counsel Emmanuel Ronco spoke on a panel at the Privacy + Security Forum 2017.
Daniel and Emmanuel spoke on “Privacy in M&A Transactions (Level 201)” which provided an overview of the privacy-related risks associated with M&A transactions, including those relating to an M&A target’s pre-acquisition conduct, the disclosure or transfer of personal data (e.g., concerning the target’s employees and customers) to a purchaser and the purchaser’s post-acquisition use of such personal data. Best practices for identifying, managing and mitigating these risks were also discussed, such as privacy and data security due diligence, representations & warranties and related indemnities. The session offered both a U.S. and EU law perspective on these increasingly important issues.
