Cleary Gottlieb represented the underwriters, led by Barclays Capital Inc., Deutsche Bank Securities Inc., Mizuho Securities USA LLC, RBC Capital Markets, LLC and Wells Fargo Securities, LLC, in an SEC registered shelf takedown by American Express.

The offering consisted of $1.5 billion 2.200 percent notes due October 30, 2020, $500 million floating-rate notes due October 30, 2020, and $1.65 billion 3.000 percent notes due October 30, 2024.

The offering priced on October 23, 2017, and closed on October 30, 2017.
