AIG’s $1.25 Billion Offering

Cleary Gottlieb represented the underwriters in $1.25 billion aggregate principal amount of notes offered by American International Group Inc. (AIG).

The notes offering consisted of $625 million of 4.85% notes due 2030 and $625 million of 5.45% notes due 2035.

The notes offering was led by Citigroup Global Markets Inc., Morgan Stanley & Co. LLC, BofA Securities Inc., Goldman Sachs & Co. LLC, and J.P. Morgan Securities LLC, as joint global coordinators and representatives of the underwriters. In all, 10 underwriters participated in the notes offering, which priced on May 5, 2025. The offering closed on May 7, 2025.
