América Móvil in $4 Billion Senior Notes Offering

Cleary Gottlieb represented América Móvil in a $4 billion Rule 144A/Regulation S offering with registration rights, composed of three tranches of notes, with $750 million 3.625% senior notes due 2015, $2 billion 5.000% senior notes due 2020, and $1.25 billion 6.125% senior notes due 2040. Citibank, Goldman, Sachs & Co., J.P. Morgan, Credit Suisse, Morgan Stanley and Santander acted as initial purchasers in the transaction, which priced on March 23 and closed on March 30.

América Móvil is the largest provider of wireless services in Latin America, with 201 million subscribers as of December 31, 2009.

Cleary Gottlieb has advised América Móvil since 2000 on a wide variety of matters, including a substantial number of acquisitions and securities offerings. Cleary Gottlieb is also currently advising América Móvil on its two separate but concurrent offers to acquire all the outstanding shares of Telmex Internacional and Carso Global Telecom. The principal purpose of the proposed offers, announced in January, is to pursue synergies between the business of América Móvil and that of Telmex Internacional.
