ArcelorMittal in $1 Billion Registered Bond Offering

Cleary Gottlieb represented ArcelorMittal in a registered offering of an aggregate principal amount of $1 billion of 7.0% 30-year notes. The offering priced on October 1 and closed on October 8. Citi, Deutsche Bank Securities and J.P. Morgan acted as underwriters for the offering.

ArcelorMittal intends to use the proceeds of the offerings for general corporate purposes.

This is the fifth capital markets transaction this year in which Cleary Gottlieb represented ArcelorMittal. Cleary Gottlieb represented ArcelorMittal in four securities offerings in the second quarter of 2009, including a convertible bond offering that closed on April 1, concurrent offerings of shares and convertible notes that closed on May 6 and the company’s first registered bond offering that closed on May 20. These four offerings generated aggregate proceeds of over $7.5 billion.

ArcelorMittal is the world’s largest and most global steel producer. In 2008, ArcelorMittal had sales of $124.9 billion, steel shipments of 101.7 million tonnes and crude steel production of 103.3 million tonnes, and for the six months ended June 30, 2009, ArcelorMittal had sales of $30 billion and steel shipments of 33 million tonnes.
