Brazil in its $2.5 Billion SEC-Registered Bond Offering

Cleary Gottlieb represented the Federative Republic of Brazil in an SEC-registered offering of $500 million aggregate principal amount of 2.875% global bonds due 2025, $1.25 billion aggregate principal amount of 3.875% global bonds due 2030, and $750 million aggregate principal amount of 4.750% global bonds due 2050.
The offering was a reopening of all three series of global bonds.
Citigroup, Santander, and Scotiabank acted as joint lead managers for the offering. The offering priced on December 2, 2020, and closed on December 8, 2020. The global notes were registered with the SEC under Brazil’s registration statement on Schedule B and were listed on the Luxembourg Stock Exchange on December 9, 2020.
