Cleary Gottlieb represented Enel Group (Enel) in amending the agreements with the Czech energy group Energetický a Průmyslový Holding (EPH) concerning Slovenskè Elektràrne, a leading operator in the Slovak electricity generation market whose shared capital is held by Enel, EPH, and the Slovak government.
In the context of this transaction, among other things, Enel and EPH have agreed to amend their shareholder’s agreement and the sale and purchase agreement relating to the vehicle through which they participate in the capital of Slovenskè Elektràrne. In addition, Enel has agreed to grant a €700 million subordinated loan to Slovenskè Elektràrne.
