Equinix, Inc. in $373.75 Million Convertible Note Offering and Related Capped Call Transactions

Cleary Gottlieb represented Citigroup Global Markets Inc., J.P. Morgan Securities Inc. and Goldman, Sachs & Co., as representatives of the underwriters, in Equinix, Inc.’s $373.75 million offering of 4.75% convertible subordinated notes due 2016. Cleary Gottlieb also advised Goldman, Sachs & Co., JPMorgan Chase Bank, N.A., London Branch and Deutsche Bank AG, London Branch in connection with capped call transactions entered into with the company. The notes offering and the capped call transactions closed on June 12, with the settlement of the over-allotment option occurring on June 15.
