Cleary Gottlieb represented Deutsche Bank and MainFirst Bank as listing and placement agents in the dual listing of Evonik Industries AG’s shares on the regulated market of the Frankfurt Stock Exchange (Prime Standard) and on the regulated market of the Luxembourg Stock Exchange as well as in the simultaneous private placement of 10.718 million Evonik shares (including overallotment) from the holdings of RAG Foundation and funds advised by CVC Capital Partners.
The private placement was made solely to institutional investors, including to qualified institutional buyers in the United States according to Rule 144A, at a price of €32.20 per Evonik share.
Listing and commencement of trading in the shares, as well as the closing of the private placement occurred in April 2013.
