Fintech Completes Sale of Indirect Interest in OMA to VINCI Airports

Cleary Gottlieb represented Fintech Holdings Inc. (Fintech) and certain of its affiliates in the sale of 100% of their equity interest in Servicios de Tecnología Aeroportuaria S.A. de C.V. (SETA) and Aerodrome Infrastructure S.à r.l. (Aerodrome) to CONCESSOC 31 SAS, a wholly owned subsidiary of VINCI Airports SAS (VINCI).

The parties entered into a share purchase agreement on July 31, 2022, and the transaction closed on December 7, 2022.

VINCI now beneficially owns, through SETA and Aerodrome, approximately 29.99% of the total issued and outstanding capital stock of Grupo Aeroportuario del Centro Norte S.A.B. de C.V. (OMA). The purchase price paid by Vinci was $578.7 million for SETA and $240.8 million for Aerodrome.

Fintech and its affiliates participate and assist in the investment in securities of sovereign and private entities, primarily in emerging markets.

VINCI is a global operator of airport concessions, project management, maintenance, and construction. Following the close of the transaction, VINCI’s network will include more than 70 airports in 13 countries.

OMA is a Mexican publicly traded company that holds concessions to operate, maintain, and develop 13 airports in Mexico, concentrated in the country’s central and northern regions, and provides aeronautical services, non-aeronautical services, and commercial services to passengers and airlines that use the airports that it operates.
