Cleary Gottlieb represented a group of six co-managers in a Rule 144A/Reg S equity offering of Marfrig Alimentos. Marfrig sold 131,250,000 common shares (including over-allotment shares) at the price of R$8.00 per share, for a total offering size of approximately R$1.05 billion. The deal closed on December 10, and the over-allotment option closed on December 21.
Marfrig is one of the largest food producers in the world (the fifth largest producer of pork and poultry and third-largest producer of beef). Marfrig has two major business segments: Marfrig Beef, which includes the beef divisions in Brazil, Argentina, Uruguay and Chile, and the lamb and leather product divisions; and Seara Foods, which includes the poultry, pork, prepared and processed products in Brazil, Europe (through the “Moy Park” brand) and other global regions (through the “Keystone” brand).
