Cleary Gottlieb represented Pironet NDH and its affiliate SA2 Retail, in the sale of a 51% interest in SA2 Worldsync to GS1 Germany. The purchase agreement was signed on August 10, 2011.
The transaction included a one-time license fee, required for a Product-Informations-Management(PIM)-Software, which is run by SA2 to provide electronic interchange of product data.
SA2 Worldsync is a master data pool that provides services to users of the consumer goods industry and the retailing sector.
GS1 Germany, who already held a 14% interest in SA2 Worldsync before, also acquired the remaining 35% interest in SA2 Worldsync from Agentrics. SA2 Worldsync is now a 100% affiliate of GS1 Germany.
