Technogym's International IPO

Cleary Gottlieb represented Technogym in Technogym’s listing and international public offering by Arle Capital Partners (formerly Candover Investment plc), Technogym’s minority shareholder, of Technogym’s ordinary shares pursuant to Arle Capital Partners Limited’s rights under its shareholders’ agreement.

The offering launched on April 18, 2016, and the shares were admitted to trading on the MTA (Mercato Telematico Azionario) of the Italian Stock Exchange on May 3, 2016.  The offering consisted of a secondary sale of 50,000,000 shares at an initial offer price of  €3.25 per share.

The offering was made to international investors, including Italian investors, under Regulation S and to qualified institutional buyers in the U.S. pursuant to Rule 144A.

The Joint Global Coordinators and Joint Bookrunners were Goldman Sachs International, J.P. Morgan Securities and Mediobanca—Banca di Credito Finanziario.  Mediobanca—Banca di Credito Finanziario acted as sponsor for the listing on the MTA.
