Preparing for "Proxy Access" Shareholder Proposals

While the SEC’s proxy access rule has been judicially vacated, the related Rule 14a-8 amendments permitting shareholders to make their own proxy access proposals are now in effect. The attached alert memorandum discusses steps that companies should consider if they receive such a proposal and, indeed, in preparing for the 2012 proxy season.
