Sang Jin Han’s practice focuses on mergers and acquisitions with an emphasis on cross-border transactions.

He joined the firm in 1996 and became a partner in 2005. He was resident in Cleary’s New York office from 1996 to 2008 and the Hong Kong office from 2008 to 2014 before locating to Seoul.

  • Fila Korea in its acquisition of a controlling interest in Acushnet Holdings Corp, a NYSE-listed company.

  • MBK Partners and its affiliates in their $6.1 billion acquisition of Homeplus from Tesco, and MBK Partners in its $1.7 billion acquisition of ING Groep N.V.’s Korean life insurance business, ING Life Korea.

  • HTx Services in its acquisition of certain ATM and branch support organization businesses from affiliates of Citigroup Inc.

  • ArcelorMittal in the sale of Circuit Foil Luxembourg to Doosan Corporation and in the sale of certain of its steel cord business in Asia, the United States and Europe to Kiswire Ltd., a Korean steel cord manufacturer and distributor.

  • An affiliate of Temasek Holdings in its purchase of approximately 4.4% of Celltrion from Celltrion Holdings Co. and Celltrion GSC Co.

  • Citi Venture Capital International in its acquisition of a fast food franchise business in Korea.

  • KT Corporation in its sale of its majority stake in OJSC New Telephone Company, a telecommunications company in Russia.

  • NHN Corporation in the sale of its majority stake in Ourgame Assets Limited, which operates online game services in China through its subsidiaries.

  • SK Networks in its investment in MMX, a Brazilian listed iron ore mining company.

  • Korea Investment Corporation in its investments in Chesapeake Energy Corporation, Merrill Lynch, Frac Tech International and Noble Holdings Limited.

  • Cheil Worldwide in its establishment of a joint venture advertising company in France and its acquisitions of a U.S. digital marketing agency, The Barbarian Group, LLC, a U.K. independent advertising agency, Beattie McGuinness Bungay Limited, and a Hong Kong advertising company, Bravo Asia.

  • LS Cable Ltd. in its acquisition of a Nasdaq-listed U.S. public company, Superior Essex Inc., which is the largest cross-border tender offer by a Korean company.

  • Hyosung Corporation in its acquisition of Global Safety Textiles, a leading airbag textiles producer headquartered in Germany, its acquisition of two tire-cord manufacturing facilities in the United States from Michelin North America and the sale of one of the manufacturing facilities to a U.S. buyer.
