Revoking Delegated Powers and Right to Damages

In Judgment No. 4954 of February 25, 2020, the Italian Supreme Court ruled that revoking delegated powers granted to executive directors “must be based on a ‘just cause,’ otherwise the person who had the powers revoked is entitled to damages.” In our seminar, we discussed with Severa Azzarello the latest case law on a widely debated topic, assessing the precautionary measures that companies may adopt to mitigate the risk of liability.
