Dissociation Between Management Powers and Representative Powers of Directors

A recent judgment by the Court of Milan addressed the issue of dissociation between management powers and representative powers of company directors (in the context of a challenge to a shareholders’ resolution). We discussed with Luca Vernero the key issues raised by this order and its numerous implications both in the corporate practice and in the negotiation and execution of transactions.
