Collibra in Redomiciliation of Parent Entity From Belgium to Netherlands

Cleary Gottlieb represented Collibra NV (Collibra) on the redomiciliation of its parent entity from Belgium to the Netherlands.

The redomiciliation was completed in two main steps. Collibra was first merged with and into a Dutch subsidiary that has become the new group parent company, followed by a drop-down of the assets and liabilities from the new Dutch parent company into a new Belgian operational entity for the Collibra group.

The Collibra group develops and sells software that facilitates data management and data governance. Many of the largest public companies listed in the Forbes Global 2000 List rely on Collibra to create the critical alignment that accelerates workflows and delivers better results faster. The Collibra group is currently headquartered in Brussels, Belgium, and has subsidiaries and branches around the world.

Cleary has previously advised Collibra in several of its fundraising rounds, notably on its most recent $250 million Series F financing round at a post-money valuation of $5.25 billion, and corporate advisory and finance matters.
