Empresa Nacional del Petróleo in $300 Million Syndicated Loan and $500 Million Note Offering

Cleary Gottlieb recently represented Empresa Nacional del Petróleo (ENAP), Chile’s largest hydrocarbon producer and the country’s only petroleum product refiner, in a $300 million syndicated loan transaction with The Bank of Tokyo-Mitsubishi UFJ as Administrative Agent, BBVA Securities, The Bank of Tokyo-Mitsubishi UFJ, HSBC Securities (USA) and J.P. Morgan Securities as Joint Bookrunners and Lead Arrangers, and DnB NOR Bank ASA, Agencia en Chile as Mandated Lead Arranger. The loan matures in 2016. This transaction closed on November 29, 2011.

Cleary Gottlieb also represented ENAP in its offering of $500 million of its 4.750% Notes due 2021. The joint book-running managers for the offering were Banco Bilbao Vizcaya Argentaria, HSBC Securities (USA), J.P. Morgan Securities, and Mitsubishi UFJ Securities (USA). The deal closed on December 6, 2011.
