PALL Filtration and PALL France in the Sale of PALL Filtration

Cleary Gottlieb advised PALL Filtration and PALL France in the sale of PALL Filtration, a subsidiary of Filtration et Séparations Group, to SASU Filtration, a company of the PRD Group. Filtration et Séparations Group and SASU Filtration entered into a term sale agreement on June 8, 2007, as well as several agreements including a lease of PALL Filtration’s business by PALL Filtration and Separation to SASU Filtration, a distribution agreement, a logistics services agreement and a license agreement. The term sale closed on June 8, 2010 and the distribution and logistics services agreement remain in effect. The sale’s consideration was one euro. This transaction permitted the PALL Group to successfully externalize the operations of the Ternay site.
