ASUR to Acquire Retail Concessions at Key Terminals at JFK, LAX, and ORD Airports

Cleary Gottlieb is representing longstanding client Grupo Aeroportuario del Sureste S.A.B. de C.V. (ASUR) in its acquisition of the equity interests of URW Airports LLC (URW Airports) from Westfield Development Inc. for an enterprise value of $295 million.

The acquired business manages select commercial programs at key U.S. airports, including:

  • Terminal 8 and New Terminal One at John F. Kennedy International Airport.
  • Terminals 1, 2, 3, 6, Tom Bradley International Terminal, and Tom Bradley International Terminal West at Los Angeles International Airport.
  • Terminal 5 at Chicago O’Hare International Airport.

The acquisition, which was announced on July 30, 2025, represents ASUR’s strategic expansion into the U.S. airport retail concessions market. Closing is subject to customary conditions precedent and is expected to occur in the second half of 2025.

ASUR is a leading international airport operator with a portfolio of concessions to operate, maintain, and develop 16 airports in the Americas. These include nine airports in southeast Mexico—including Cancun Airport, the most important tourist destination in Latin America—and six airports in northern Colombia. ASUR is also a 60% JV partner in Aerostar Airport Holdings LLC, operator of the Luis Muñoz Marín International Airport serving the capital of Puerto Rico.
