Cleary Gottlieb assisted Vivendi with Araoz y Rueda in its action before the Commercial Court of Madrid, which upheld its urgent petition to stay the merger resolution of Mediaset España and Mediaset S.p.A. (Mediaset) into a Dutch vehicle company.
The court found that Mediaset and Fininvest had unlawfully imposed the proposed merger to the detriment of minority shareholders and that the merger does not have a real business purpose.
