Kate Grimm’s practice focuses on debt finance and capital solutions transactions.

Kate’s broad experience includes representing major financial institutions, private credit lenders, borrowers, and private equity sponsors across a wide range of corporate finance transactions, including acquisition and bridge financings, investment grade financings, complex liability management transactions, and restructuring matters.

Kate originally joined the firm in 2002. From 2010 to 2020, Kate practiced in-house as Associate General Counsel at Antares Capital and Senior Counsel at GE Capital, where she managed legal matters relating to the businesses’ commercial lending platforms and advised on middle market and widely syndicated lending transactions. In 2020, she returned to private practice. Kate rejoined the firm as counsel in 2023.

  • Goldman Sachs as agent in a $400 million revolving credit facility with Quest Software in connection with a liability management transaction involving nearly $4 billion in debt.

  • The agent for secured creditors of Liberty Communications of Puerto Rico under approximately $3 billion of pre-existing credit facilities in connection with a $250 million dropdown financing transaction.

  • A coinvestor in Xerox’s dropdown IP financing to structure a $405 million term loan and $45 million preferred equity investment.

  • Alkermes plc in $1.525 billion of term loan “A” and term loan “B” facilities in connection with its acquisition of Avadel Pharmaceuticals plc.

  • Synopsys Inc. in its $35 billion acquisition of Ansys and in the sale of its Software Integrity Group business to Clearlake Capital and Francisco Partners.

  • Artémis in the acquisition of a majority stake in CAA.

  • Warburg Pincus in the financing for its acquisition of Redwood Software.

  • Viking Global in transactions relating to its previous investment in Series B preferred shares of APi Group.
