Cleary Gottlieb partners Kyle Harris and Lillian Tsu participated in the webinar, “The SEC’s 13D/G Proposal: Questions Answered,” hosted by the Council of Institutional Investors.
Kyle and Lillian answered key questions about the SEC’s proposal to change the rules that impact investors’ ability to target and reform the underperforming public companies they own, including broadening the “group” definition, establishing a filing exemption for certain engagement activities, counting certain derivatives toward the 5% threshold, and requiring more timely reporting upon crossing it.
