In the wake of the EU’s recent reform wave, the regulation of insolvency and corporate distress has been significantly reshaped at both the European and national levels, beginning with Directive (EU) 2019/1023, implemented in Italy through the Code on Business Distress and Insolvency.
In this context, on September 2, 2025, the Ministry of Enterprises and Made in Italy introduced a draft bill, marking the first step toward reforming the special regime of extraordinary administration proceedings. The draft bill aims to establish a unified legal framework, expand the scope of extraordinary administration, and enhance the Ministry’s role in out-of-court composition proceedings concerning companies that could eventually be placed into extraordinary administration proceedings.
