Cleary Gottlieb associate Nicole Puppieni, Valentina Coraggio (Senior Manager Corporate Actions – Listed Companies Supervision, Euronext Group), and Maria Sciascia (Senior Manager Italy Regulation, Euronext Group) will explore the key elements of the proposed financial markets reform aimed at strengthening the competitiveness of Italian capital markets and facilitating access to stock exchanges, with a particular focus on the revised takeover bid framework and the new regime for newly listed issuers.

Together with our London colleague and partner Nick Rumsby, we will also discuss the main differences between the new newly introduced “full-buyout” mechanism and the English-law scheme of arrangement, which has partly inspired the Italian legislator.
