Cleary Gottlieb partners Helena Grannis and Lillian Tsu will participate in The Conference Board’s Governance Watch Webcast: 2026 Proxy Season Highlights.

The 2026 proxy season brought fewer shareholder proposals but no shortage of complexity for issuers. Proposal volume continued to decline from its 2024 peak, while companies faced growing pressure to navigate regulatory uncertainty, legal scrutiny, and shifting investor expectations. With fewer proposals drawing greater attention, the season raised new questions about the shareholder proposal process, E&S proposals, and how companies communicate effectively in a more polarized environment.

In partnership with The Conference Board, this annual webcast will unpack what changed, what surprised companies, and what boards and management teams should be preparing for now. In addition to looking at the proxy season past and thinking about what is to come, we’ll discuss the SEC proposals (and any new developments) on proxy disclosure and shareholder proposals and how companies think about upcoming changes.

Topics will include:

  • What lower shareholder proposal volume signals for issuers
  • The SEC’s new no-action approach and its impact on proposal strategy
  • Shareholder engagement amid shifting investor priorities and proxy advisor influence
  • E&S, human capital, and emerging AI-related proposals
  • Say-on-pay results and executive compensation trends
  • Recent developments from the SEC and state corporate law
