On November 5-7, 2014, Cleary Gottlieb partners Alan Beller, Victor Lewkow and Ethan Klingsberg participated in PLI’s 46th “Annual Institute on Securities Regulation,” which is considered the most highly anticipated annual review of the current state of securities regulation and corporate law and practice.

Mr. Beller, who co-chaired the program, provided the Institute’s opening remarks. Mr. Klingsberg’s panel will focus on “The Developing Playbooks for Activists’ Challenges and Corporate Responses,” a discussion on the activist landscape, including board strategies for shareholder engagement and the influence of proxy advisors. Mr. Lewkow moderated a panel on “Mergers and Acquisitions . . . Always Something New, ” which examined trends in deal terms, the continued impact of Delaware courts on M&A, and developments in unsolicited and hostile offers.
