African Gold Mining Company in $110 Million Share Offering

Cleary Gottlieb represented the underwriters led by HSBC and the sponsor, HSBC Bank plc, in a $110 million global offering by Randgold Resources Limited of 8,125,000 of its shares in the form of either American Depositary Shares (“ADSs”) or ordinary shares. The offering included 625,000 ADSs sold via a “green shoe” option.
The offering consisted of a placement to institutional investors within Europe and was registered in the United States. The ADSs are listed and traded on the Nasdaq National Market and the ordinary shares are listed and traded on the London Stock Exchange and admitted to the FSA’s official list.
Randgold Resources and its subsidiaries engage in gold mining, exploration and related activities in west and east Africa. The company has interests in two gold producing mines in Mali, a feasibility stage project in Côte d’Ivoire, and exploration permits in Mali, Côte d’Ivoire, Burkina Faso, Senegal and Tanzania.
