Airbus to Acquire Certain Spirit Aerosystems Assets

Cleary Gottlieb is representing Airbus Group SE (Airbus) on antitrust and FDI aspects of its acquisition of Spirit Aerosystems Inc. (Spirit) industrial assets dedicated to supplying Airbus’ commercial aircraft programs.
The transaction takes place in the context of the broader acquisition of Spirit by Boeing.
Spirit is a major supplier of aerostructures (including for the A220, A320, and A350 programs). The transaction is critical for Airbus to ensure stability of supply for its commercial aircraft programs.
Airbus is a global player in aeronautics, space, and related services. In 2024, Airbus generated revenues of €69.2 billion. Spirits’ turnover amounts to approximately €6 billion.
Cleary is assisting Airbus with the regulatory aspects of the transaction in the European Union, France, Morocco, the United Kingdom, and the United States.
