American Safety Insurance in Acquisition by Fairfax Financial

Cleary Gottlieb is representing Bank of America Merrill Lynch, as financial advisor to Bermuda-based American Safety Insurance Holdings Ltd., in connection with ASI’s agreement to be acquired by Fairfax Financial Holding Ltd. of Canada for approximately $306 million in cash, announced June 3. The transaction is subject to ASI shareholder and regulatory approvals and is expected to close in the fourth quarter of this year.
