Antitrust Counsel to Dow in Merger of Equals with DuPont

Cleary Gottlieb is acting as antitrust counsel to The Dow Chemical Company in connection with the announced agreement under which Dow and DuPont will combine in an all-stock merger of equals. The combined company will be named DowDuPont and the combined market capitalization will be approximately $130 billion.

Dow also announced today the definitive agreement to restructure the ownership of Dow Corning Corporation. Under the terms of the agreement, Dow will become the 100 percent owner of Dow Corning, currently a 50:50 joint venture between Dow and Corning. Cleary Gottlieb also represents Dow in connection with this restructuring.

Cleary Gottlieb is long-time counsel to Dow, having previously represented the company on global antitrust matters, including in connection with its acquisition of Rohm and Haas Company, the separation of its chlorine business, and the sale of its global Polypropylene Licensing and Catalyst business to WR Grace.
