Antitrust Counsel to Molson Coors in $12 Billion Acquisition of MillerCoors

Cleary Gottlieb is acting as antitrust counsel for Molson Coors in its proposed $12 billion acquisition of SABMiller’s interest in their U.S. joint venture, MillerCoors.

Cleary Gottlieb has long-standing relationships with both SABMiller and Molson Coors. In connection with the creation of the MillerCoors US joint venture in 2007-2008, the firm was both U.S. corporate and tax counsel to SABMiller and antitrust counsel to Molson Coors. The firm has also advised SABMiller in relation to various other projects over the years, in the U.S. and elsewhere, and has provided other antitrust advice to Molson Coors.

Separately, the firm is also representing SABMiller in the proposed combination with AB InBev on a variety of U.S. corporate and tax matters, as well as related Belgian law questions.
