Capgemini to Acquire Altran Technologies for €5 Billion

Cleary Gottlieb is advising Capgemini in its proposed acquisition of Altran Technologies.
Capgemini and Altran Technologies have entered into exclusive negotiations in connection with the proposed acquisition of Altran Technologies by Capgemini, through a friendly takeover bid for a price of €14 (ex-2018 dividend of €0.24) per share. The proposed transaction has been unanimously recommended and approved by the boards of directors of Capgemini and Altran Technologies.
In addition, Capgemini has signed definitive agreements to acquire an 11% stake in Altran Technologies from a concert led by Apax Partners funds.
The transaction values Altran Technologies at approximately €5 billion (enterprise value).
In connection therewith, Capgemini has secured a bridge financing of €5.4 billion covering the purchase of the Altran Technologies shares through the tender offer and the refinancing of Altran Technology’s existing debt.
Completion of this combination is expected by the end of 2019.
