Chartered Semiconductor in $300 Million Registered Renounceable Rights Offering

Cleary Gottlieb represented Citigroup, Deutsche Bank and Morgan Stanley, as joint lead managers and joint underwriters, in a $300 million registered renounceable rights offering of ordinary shares of Chartered Semiconductor Manufacturing Ltd. to existing shareholders and holders of ADSs to purchase newly issued ordinary shares, directly or in the form of ADSs. The rights were publicly offered in Singapore and the United States. Prior to their expiration, the share rights were traded on the Singapore Stock Exchange, and the ADS rights were traded on NASDAQ. The rights offering closed on April 15.

Chartered Semiconductor Manufacturing Ltd, a Singapore-based company, is one of the world's top dedicated semiconductor foundries. The company is dually listed on the Singapore Stock Exchange and NASDAQ. Cleary Gottlieb has represented the underwriters in all of Chartered Semiconductor's capital market transactions, including the company's 1999 NASDAQ-listed IPO.
