Clariant Plans Merger of Equals with Huntsman

Cleary Gottlieb is representing Clariant in its proposed merger of equals, through an all-stock transaction, with Huntsman Corporation, announced on May 22, 2017.

The merged company will be named HuntsmanClariant and creates a leading global specialty chemical company with an enterprise value of approximately $20 billion and sales of approximately $13.2 billion.

The transaction is expected to close by the end of 2017.

Clariant is a globally leading specialty chemical company, based in Muttenz, Switzerland, and employs a workforce of approximately 17,500. In the financial year 2016, Clariant recorded sales of approximately CHF 6 billion. The company reports in four business areas: Care Chemicals, Catalysis, Natural Resources, and Plastics and Coatings.

Huntsman Corporation is a publicly traded global manufacturer and marketer of differentiated chemicals with 2016 revenues of approximately $10 billion. Its chemical products number in the thousands and are sold worldwide to manufacturers serving a broad and diverse range of consumer and industrial end markets.
