Colruyt to Sell 81 Stores of French Integrated Retail Activities

Cleary Gottlieb is representing Colruyt Group NV (Colruyt) in the proposed sale of 81 stores of its French integrated retail activities to Groupement Mousquetaires.

Colruyt and Groupement Mousquetaires have signed a put option agreement on June 16, 2025, under which Groupement Mousquetaires, on behalf of its affiliates (independent retailers), has undertaken to acquire 81 Colruyt stores and 44 DATS 24 petrol stations (business operations and real estate included). The purchase price for this proposed transaction amounts to €215 million in cash plus transferred inventories, subject to adjustments.

Colruyt, headquartered in Halle, Belgium, and listed on Euronext Brussels, is a Belgian family-owned business with more than 33,000 co-workers. It operates in the food and non-food distribution sector in Belgium, France, and Luxembourg with more than 700 own stores and over 1,000 affiliated stores. Colruyt is also active in a wide range of non-retail activities.

Groupement Mousquetaires is a major actor in the French retail sector with over 3,000 independent affiliates and 160,000 employees with over 4,000 shops in France, Belgium, Poland, and Portugal.

The proposed transaction will be submitted to the employee representative bodies for information and consultation, and remains subject to customary regulatory approvals. Closing of the proposed transaction is expected to occur during H1 2026.
