Counsel to Goldman Sachs Mortgage Company in Acquisition of Trailer Leasing Business

Cleary Gottlieb is representing long time client Goldman Sachs Mortgage Company in its acquisition of Transamerica Corporation’s European trailer leasing business.  Goldman and its acquisition partner, Cerberus Capital, expect to finance a percentage of the price upon completion.  

Transamerica Corporation is part of the Netherlands-based Aegon Group.  Transamerica European Trailer leases transport trailers to customers across much of Europe and has offices in the U.K., Belgium, Denmark, Germany, The Netherlands and Sweden.  Although the principals are based in the U.S., the acquisition is governed by English law due to the business’s location.  Goldman and Cerberus will acquire the stock of various companies that together make up the European trailer business.
