Envision Pharmaceutical Holdings in Its Acquisition of Laker Software

Cleary Gottlieb represented Envision Pharmaceutical Holdings, a national, full-service pharmacy benefit management company, in its acquisition of Laker Software for cash and an equity stake in Envision. TPG acquired Envision Pharmaceutical Holdings on November 4. The Laker acquisition signed and closed on November 26.

Laker Software is a provider of pharmacy benefit management software solutions, including claims processing systems and support services for pharmacy benefit programs. In addition to its modular and scalable claims adjudication software, Laker offers its clients a variety of pharmacy benefit management tools, including a call center software module, accounts receivable software, eligibility maintenance tools, member and client web portals, an automated prior authorization system, web based document archiving and Medicare Part D tools.
