Fresenius Sells Brazil, Ecuador, Chile, and Colombia Operations to DaVita

Cleary Gottlieb is representing Fresenius Medical Care (Fresenius) in the sale of its Brazil, Ecuador, Chile, and Colombia dialysis clinics to kidney care group DaVita Inc. (DaVita).
The four separate transactions involved 154 dialysis clinics for an aggregate purchase price of $300 million. In late 2023, Cleary represented Fresenius in the sale of its Argentina operations to Argentine Grupo Olmos.
The Chile transaction signed on March 4, 2024, and closed on March 5, 2024. The Brazil, Ecuador, and Colombia transactions signed on March 4, 2024, and are expected to close in 2024 subject to the fulfillment of conditions precedent and the completion of customary regulatory approvals.
