Cleary Gottlieb is representing long-time client Henkel, a worldwide consumer and industrial products company with leading brands and technologies, in connection with its proposed acquisition of The Bergquist Company, a privately-held leading supplier of thermal-management solutions for the electronics industry worldwide. Headquartered in Chanhassen, Minnesota, Bergquist has approximately 1,000 employees worldwide.
Under the terms of the acquisition agreement with Bergquist’s current shareholders, Henkel will acquire all the stock of Bergquist in a cash transaction for an undisclosed amount. The transaction, which is subject to customary conditions and antitrust and regulatory approvals, was announced on September 18, 2014 and is expected to close later this year.
