Cleary Gottlieb represented Kindred Healthcare in its sale to by a consortium consisting of TPG, Welsh Carson, and Humana.
The deal signed on December 19, 2017, and closed on July 2, 2018.
Immediately following the transaction, Kindred’s home health, hospice, and community care businesses were separated from Kindred’s other businesses to be operated as a standalone company owned by Humana, TPG, and Welsh Carson. Kindred’s long-term acute care hospitals, inpatient rehabilitation facilities, and contract rehabilitation services businesses are now operated as a separate specialty hospital company owned by TPG and Welsh Carson.
