October 30, 2026

Cleary Gottlieb represented iPlan and its shareholders in the sale of 100% of the equity interests in IPLAN LLC and NSS S.A. (together, iPlan) to Telecentro S.A. (Telecentro) for a base purchase price of $260 million, subject to customary adjustments.

The equity purchase agreement became effective on August 31, 2026, upon the sellers’ acceptance of Telecentro’s irrevocable offer. The transaction closed on October 8, 2026. The purchase price payment structure included currency conversion mechanisms designed to address Argentina’s foreign exchange regulations, supported by a standby letter of credit, as well as an escrow arrangement.
