Keysight Technologies to Acquire Ixia for $1.6 Billion

Cleary Gottlieb is serving as counsel to Keysight Technologies, which has announced a definitive agreement on January 30, 2017, to acquire Ixia in an all-cash transaction totaling approximately $1.6 billion in consideration.

Cleary is handling all aspects of the transaction for Keysight, including corporate, acquisition finance, antitrust, intellectual property, employee benefits, tax, and real estate. The firm previously represented Keysight on its acquisition of publicly traded Anite and represented Agilent Technologies, from which Keysight was spun off, on its largest acquisition, Dako for $2.2 billion.

Keysight Technologies is a U.S. company that manufactures test and measurement equipment and software.

Ixia is a globally traded public company that provides testing, visibility and security solutions, operating in 25 countries around the globe.
