Cleary Gottlieb represented Kindred Healthcare in its acquisition of Gentiva Health Services for a combination of cash and Kindred common stock. The transaction, which was announced October 9, was valued at $1.8 billion, including the assumption of Gentiva debt. The transaction closed on February 2, 2015.
Cleary Gottlieb previously represented Kindred in connection with its unsolicited proposal to acquire Gentiva, announced May 15, 2014, and subsequent unsolicited all-cash tender offer for the outstanding Gentiva shares.
