Cleary Gottlieb acted as counsel to the board of directors of M.video, in connection with the consolidation of its business with Eldorado.
The work included advice on various matters related to directors’ fiduciary duties, conflict of interest, directors’ liability, major transactions and interested party transactions.
The acquisition was announced on March 22, 2018, and its completion is subject to approval of M.video’s shareholders at the extraordinary general meeting of shareholders on April 13, 2018.
Cleary previously represented the board of directors of M.video in April 2017 in connection with $1.3 billion voluntary tender offer to the shareholders of M.video preceded by SAFMAR’s acquisition of 57.7 percent of M.video from M.video’s core shareholder and founder Alexander Tynkovan and its partners.
