Cleary Gottlieb acted as counsel to MercadoLibre, Inc. in its Rule 144A offering of $800 million principal amount of 2.00 percent convertible senior notes due 2028 and in a series of related capped call transactions.
Cleary also represented MercadoLibre in concurrent private exchange transactions relating to its outstanding 2.25 percent convertible senior notes due 2019 and the partial termination of related existing capped call transactions. The transactions closed on August 24, 2018.
