Metalsa’s Consent Solicitation

Cleary Gottlieb represented Bank of America Merrill Lynch, as solicitation agent, in the solicitation of consents by Metalsa S.A. de C.V. (Metalsa) from registered holders of its 4.9% senior notes due 2023.
Metalsa solicited consents to amend certain provisions of the indenture governing the notes, including the merger and sale covenant relating to certain of the note guarantors and the covenant providing for additional note guarantees.
As a result of receiving consents from a majority of holders of the notes, a supplemental indenture to the indenture governing the notes was executed on June 27, 2019. The consent solicitation commenced on June 14, 2019, expired on June 27, 2019, and settled on July 1, 2019.
